These Terms & Conditions ("Terms") govern your access to and use of the SpideyChat website and platform (the "Service") operated by SpideyChat ("SpideyChat", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
SpideyChat lets you create AI chatbots, train them on content you provide, and embed them on your website with a single line of code. The chatbots answer visitor questions, can capture leads, and can hand conversations off to a human. We may add, change, or remove features over time.
2. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your password secure, and for all activity under your account. Notify us promptly at queries@spideychat.com if you suspect unauthorized use.
3. Acceptable use
You agree not to:
- Use the Service for anything unlawful, harmful, deceptive, or abusive;
- Upload content or build a bot that infringes others' rights, or that is hateful, harassing, or otherwise objectionable;
- Attempt to break, overload, reverse-engineer, or gain unauthorized access to the Service or its infrastructure;
- Use the Service to send spam, or to collect personal data without a lawful basis and appropriate notice to the people you collect it from;
- Resell or provide the Service to third parties except as expressly permitted.
We may suspend or terminate accounts that violate these Terms.
4. Your content
You retain ownership of the content you upload or provide to train your chatbots ("Your Content"). You grant SpideyChat a worldwide, non-exclusive license to host, process, and transmit Your Content solely to operate and improve the Service, including sending relevant portions to AI providers to generate replies. You are responsible for having the rights to use Your Content and for ensuring it complies with applicable law. You are also responsible for the conduct of the chatbots you deploy and for informing your own users, where required, that they are interacting with an automated assistant.
5. AI-generated content
Chatbot responses are generated by artificial intelligence based on the content you provide and third-party AI models. AI can produce inaccurate, incomplete, or unexpected answers. You are responsible for reviewing your bots' behavior and for any reliance placed on their output. SpideyChat does not guarantee the accuracy of AI-generated responses and is not liable for decisions made based on them.
6. Plans, billing, and cancellation
Some features require a paid subscription. Prices and plan limits are shown on our pricing page and may change with notice. Paid plans renew automatically for the applicable billing period until cancelled. You can cancel at any time; unless required by law or stated otherwise, payments are non-refundable and cancellation takes effect at the end of the current billing period. We may change or discontinue plans, and will give reasonable notice of material changes.
7. Intellectual property
The Service, including its software, design, and branding, is owned by SpideyChat and protected by intellectual-property laws. These Terms do not grant you any right to our name, logos, or trademarks except as needed to use the Service as intended. All rights not expressly granted are reserved.
8. Third-party services
The Service relies on third parties, including AI providers, hosting, email, and payment processors. Your use may also be subject to those providers' terms. We are not responsible for third-party services and do not control their availability.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI responses will be accurate.
10. Limitation of liability
To the maximum extent permitted by law, SpideyChat and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100.
11. Indemnification
You agree to indemnify and hold SpideyChat harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, the chatbots you deploy, or your violation of these Terms or the rights of others.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe it is necessary to protect the Service or others. On termination, your right to use the Service ends and we may delete your data as described in our Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the revised Terms.
14. Governing law
These Terms are governed by the laws applicable at SpideyChat's principal place of business, without regard to conflict-of-law rules. Disputes will be handled by the competent courts of that jurisdiction, except where mandatory local law gives you the right to bring a claim elsewhere.
